The structure, purposes and principles that make BASE a responsible community.
1.1 The unrecognised association is named ‘Base’.
1.2 The Association’s registered office is established in Rome.
1.3 Base may establish branches or representative offices in other locations, subject to a resolution by the Board of Directors.
2.1 The purpose of the Base Association is to create and develop relationships between high-profile professionals and young talent, fostering friendly and professional connections that generate value for its members and impact for the community.
2.2 The Association promotes the professional growth, education, civic engagement and social responsibility of its members. In carrying out its duties and pursuing its objectives, it embraces the values of the Italian Republic and the European Union.
2.3 In order to promote and protect the values it pursues, the Association carries out any lawful activity deemed useful to its members and the community, through events, discussions, debates and programmes.
3.1 The Association is established for an indefinite period.
4.1 Base operates through an organisational structure comprising the following bodies: the General Meeting of Members; the Founders’ Council; the President; the Board of Directors; the Advisory Board; and any Technical Committees established by the Board of Directors.
4.2 General Meeting: this is the Association’s collective decision-making body and consists of all members whose membership fees are up to date. Each member is entitled to one vote on resolutions of the General Meeting. The General Meeting meets at least once a year to approve the financial statements. The General Meeting elects the President and approves the composition of the Board of Directors. The General Meeting is responsible for approving amendments to the Association’s founding deed and Statute. The General Meeting resolves on all other matters submitted to it by the Board of Directors. Resolutions of the General Meeting are effective only if they take into account the opinion expressed by the Founders’ Council.
4.3 Founders’ Council: a permanent guarantor body consisting of all founding members (Art. 5.3). Membership of the Council is personal, permanent and non-transferable. The Council issues a binding opinion on: the appointment and removal of the President and members of the Board of Directors; approval of the annual financial statements; amendments to the Founding Deed, the Statute and the Internal Regulations; early dissolution of the Association and allocation of its assets; and any other resolution that the Board of Directors deems appropriate to submit to it. Without such an opinion, a resolution of the General Meeting or the Board is ineffective. The Council may also settle disputes between members or between members and governing bodies, by a reasoned decision adopted by a majority of those present, ex bono et aequo and without formalities.
4.4 President: represents the Association; is responsible for it, directs its activities and convenes its governing bodies. The President is elected by the General Meeting of Members for a three-year term, subject to approval by the Founders’ Council. The President proposes the members of the Board of Directors to the General Meeting, which approves its composition. The President may appoint a Vice-President from among the members of the Board of Directors without formalities. At the end of their term, the President may be re-elected.
4.5 Board of Directors: the management body, consisting of the President and a variable number of directors elected by the General Meeting upon the President’s proposal and with the favourable opinion of the Founders’ Council. It is responsible for administration, financial management and implementation of resolutions adopted by the General Meeting.
4.6 Advisory Board: a consultative body established by the Board of Directors and consisting of high-profile experts in BASE’s areas of interest, appointed for a three-year term that is tacitly renewable unless revoked.
4.7 The Board of Directors may, by its own resolution, establish committees for specific purposes and special assignments, determining their composition and duration.
5.1 High-profile professionals and young talent who have received an invitation from the Association or submitted an application for admission in accordance with the Regulations approved by the Board of Directors may join Base. Admission is based on criteria including professional excellence, experience and motivation to contribute to the Association, personal integrity and proper conduct.
5.1 bis Legal persons may participate in the Association.
5.2 Each new ordinary member is admitted for a six-month probationary period, during which they have the same rights and duties except for: a) the right to vote at the General Meeting; b) the obligation to pay the membership fee. Once the period has elapsed without objections, admission becomes final.
5.3 Members are classified as: founding; ordinary; honorary; distinguished. All members share equal rights and duties, except as provided for founding members for governance purposes.
a) founding members: this status belongs exclusively to the signatories of the Founding Deed and to those upon whom it is subsequently conferred by unanimous resolution of the existing founders. The status is personal, permanent, non-transferable and irrevocable, except in the event of established unworthiness;
b) ordinary members: admitted through the admission process governed by the Statute and the dedicated procedure;
c) honorary members: appointed by the General Meeting, upon the proposal of the Board of Directors, in recognition of particular cultural or professional merit;
d) distinguished members: appointed by the General Meeting, upon the proposal of the Board of Directors, from among persons who have made significant financial contributions in support of the Association’s purposes.
5.4 Members contribute an annual membership fee, the amount of which is determined by resolution of the Board of Directors. Payment of the membership fee is a requirement for retaining member status. The fee must be paid by 31 December of each year.
5.5 In accordance with the Association’s values and the statutory rules on the confidentiality of Base’s activities, third parties may be invited to participate in individual activities or be informed about the Association’s initiatives without acquiring member status.
5.6 Any member may withdraw from the Association at any time by submitting a reasoned written notice to the Board of Directors, with a minimum notice period of 30 days.
5.7 A member may withdraw by giving at least 30 days’ written notice to the Board of Directors. Exclusion on serious grounds is resolved by the General Meeting; for founding members, exclusion requires the prior unanimous decision of the other founders.
6.1 The Association’s assets consist of:
a) membership fees paid by members;
b) sponsorships, grants and contributions from public and private entities; donations and bequests that it may receive;
c) any income generated by projects and activities promoted by Base.
6.2 A committee for the financial management of the Association is established by resolution of the Board of Directors. The committee is chaired by the President of the Association and one member serves as Treasurer. The Treasurer remains in office for as long as the President and the Board of Directors remain in office. The Treasurer’s functions are extended until a successor is appointed, unless the General Meeting resolves to suspend the Treasurer on serious grounds. If the committee is not established, its responsibilities are exercised by the Board of Directors.
6.3 The payment methods, amount and deadline for the membership fee are established by resolution of the Board of Directors.
6.4 The distribution of the Association’s profits among members, including indirectly, is not permitted.
7.1 The Association adopts Internal Regulations defining its operational and organisational procedures and arrangements. The Internal Regulations include, among other matters, the following:
a) The procedure for admitting members, including assessment criteria and required qualifications.
b) The procedure for preparing, managing and consulting an internal member database in order to facilitate interaction, the sharing of information and the creation of connections among members.
7.2 The first Internal Regulations are adopted by resolution of the Board of Directors and submitted to the General Meeting for approval. The Board of Directors may amend the Internal Regulations, subject to ratification by the first General Meeting convened. Amendments not yet ratified are provisionally effective.
8.1 Base guarantees the highest level of confidentiality for its members and guests and undertakes to protect personal and professional information in accordance with privacy laws.
8.2 Members are required to respect the confidentiality of information exchanged within the Association and not to disclose it to third parties without the explicit consent of those directly concerned.
8.3 Base will not publicly use the names of its members or disclose information outside the Association about its activities and projects unless the members concerned have given specific consent.
9.1 This Statute may be amended upon the proposal of the Board of Directors or an absolute majority of Base members. Any member may submit new proposals to amend the Statute or the Founding Deed to the Board of Directors, which takes the initiative on them.
9.2 Proposed amendments may be vetoed by the Founders’ Council.
10.1 For all matters not covered by this founding document and the Internal Regulations, the provisions of the Italian Civil Code and the laws in force governing unrecognised associations shall apply.
Integrity, respect, confidentiality and responsibility form the operational foundation of our community.
The Code of Ethics establishes the principles and values that guide the conduct of Base members. It is essential that every member abide by these principles in order to create an environment of collaboration, mutual respect and professionalism within the Association.
Base members undertake to conduct their professional activities with integrity and professionalism, respecting the ethical standards and professional principles of their profession. They will avoid fraudulent, unfair or improper conduct that could damage the image of Base or their colleagues.
In pursuing objectives of high value, members must maintain conduct, including in private, that is proper and dignified.
Base promotes an inclusive and respectful environment in which every member is valued for their expertise, without any form of discrimination based on sex, race, ethnicity, religion, sexual orientation, disability or any other personal characteristic. Members undertake to treat other members with respect, courtesy and collaboration, fostering a climate of mutual trust.
Base members undertake to maintain the highest level of confidentiality regarding information exchanged within the Association and to protect the privacy of their colleagues. Confidential or restricted information acquired in connection with Base activities must not be disclosed or used for personal purposes without the explicit consent of those directly concerned.
Base promotes collaboration and the exchange of knowledge and experience among members. Each member undertakes to share information, best practices and professional opportunities while respecting the interests and rights of other members.
The Association supports its members’ commitment to the community and positive social impact. We are encouraged to contribute to the progress and well-being of our communities through volunteering initiatives, the dissemination of knowledge or other activities for social purposes.
Members undertake to comply with the laws, regulations and rules applicable in the exercise of our professional activities. Members are responsible for learning about the rules applicable to the Association’s activities and ensuring that they operate in compliance with them.
Members undertake to support the Association’s objectives and values, actively contributing to its activities, networking and growth. They undertake to provide truthful and complete information about their professional qualifications and work experience, thereby contributing to the collective success of the Association.
Any violations of this Code of Ethics will be examined by the Board of Directors, which will consider the appropriate disciplinary measures. Sanctions for violations may include formal warnings, temporary suspension of membership rights or permanent exclusion from Base, depending on the seriousness of the violation.
